Hayley Luxe Digital File License

HAYLEY LUXE DIGITAL FILE LICENSE AND TERMS OF USE

Effective Date: (August 1, 2026)

These Digital File License and Terms of Use (the “Agreement”) constitute a legally binding agreement between Hayley Luxe (“Hayley Luxe,” “Licensor,” “we,” “us,” or “our”) and the individual or entity purchasing, downloading, accessing, or using any Hayley Luxe digital 3D-printing file (“Purchaser,” “Licensee,” “you,” or “your”).

For purposes of this Agreement, “Digital File” includes any 3MF, STL, project file, model geometry, modifier, component, setting, graphic, instruction, update, replacement, converted file, or other digital material supplied by Hayley Luxe.

By purchasing, downloading, accessing, opening, copying, printing, or otherwise using a Digital File, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.

IF YOU DO NOT AGREE TO EVERY PROVISION OF THIS AGREEMENT, YOU MAY NOT PURCHASE, DOWNLOAD, ACCESS, COPY, PRINT, MODIFY, STORE, OR OTHERWISE USE ANY HAYLEY LUXE DIGITAL FILE.

1. LIMITED PERSONAL-USE LICENSE

Subject to your continued compliance with this Agreement, Hayley Luxe grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use the purchased Digital File solely for your own personal, non-commercial purposes.

The purchase of a Digital File constitutes the purchase of a license—not the sale or transfer of the Digital File, underlying design, copyright, trademark, or other intellectual-property rights.

Except where Hayley Luxe has expressly granted a separate written commercial license, all commercial use is strictly prohibited.

No license or right is granted by implication, estoppel, course of dealing, or otherwise.

2. PERMITTED PERSONAL USE

Under the personal-use license, you may:

Download and store the Digital File for your own individual use;
Use the Digital File with a 3D printer owned or directly controlled by you;
Produce physical prints solely for your own personal, non-commercial use; and
Give a physical print as a genuine personal gift, provided that no payment, reimbursement, trade, barter, donation, tip, promotional benefit, or other thing of value is received or expected.

Any right not expressly granted in this Agreement is reserved by Hayley Luxe.

3. PROHIBITED CONDUCT

Without prior express written authorization from Hayley Luxe, you may not, directly or indirectly:

Sell, advertise, market, display, offer, preorder, manufacture for sale, or distribute physical products made from the Digital File;
Use the Digital File or resulting physical prints in connection with any business, commercial venture, fundraiser, promotional activity, influencer campaign, giveaway intended to promote a business, or revenue-generating activity;
Accept payment, tips, donations, reimbursement, trades, barter, services, exposure, promotional value, or any other form of compensation for a physical print;
Sell, share, copy, distribute, transfer, gift, sublicense, upload, publish, lease, lend, trade, or otherwise provide the Digital File to another person or entity;
Sell or distribute the Digital File in 3MF, STL, OBJ, STEP, CAD, mesh, project, image-to-model, converted, reconstructed, or any other digital format;
Upload the Digital File to MakerWorld, Printables, Cults3D, Etsy, Patreon, Facebook, Discord, Google Drive, Dropbox, a cloud library, private group, repository, marketplace, file-sharing service, or any other platform accessible by another person;
Include the Digital File in a bundle, collection, subscription, membership, course, tutorial, download, physical-product purchase, or other offering;
Permit an unrelated individual or business to use a Digital File purchased under your name;
Manufacture products for another seller using the Digital File;
Use a third-party printing service to manufacture products for commercial purposes;
Claim authorship, ownership, or origination of the Digital File or underlying Hayley Luxe design; or
Remove, conceal, alter, or misrepresent any copyright notice, license designation, watermark, branding, metadata, or other rights-management information.

These restrictions apply whether the prohibited activity is conducted for profit, at cost, without profit, as a hobby, or as part of a primary or secondary business.

4. MODIFICATIONS, REMIXES, AND CONVERSIONS

You may make limited technical adjustments reasonably necessary to print the Digital File for your permitted personal use.

Modification does not create a new design, transfer ownership, extinguish Hayley Luxe’s rights, or grant commercial rights.

You may not modify, remix, resize, trace, scan, reconstruct, convert, separate, combine, adapt, simplify, enhance, reverse engineer, or otherwise alter the Digital File for the purpose of selling, sharing, redistributing, publishing, or commercially exploiting the original or modified file or any resulting physical product.

A modification, conversion, or derivative version remains subject to this Agreement to the extent that it incorporates, reproduces, or is derived from the Digital File.

Changing colors, removing or replacing text, adding or removing branding, altering dimensions, separating components, or making minor visual changes does not convert a personal-use file into a commercially licensed design.

5. 3MF FILES, SOFTWARE, AND PRINT SETTINGS

Certain Digital Files may be supplied as 3MF project files containing model geometry, modifiers, filament assignments, orientations, print settings, supports, or other project information.

Unless otherwise stated in the applicable product listing, such files are designed or tested using Bambu Studio.

Hayley Luxe does not warrant compatibility with every slicer, printer, firmware version, software version, material, nozzle, build surface, or other equipment. Third-party software may alter or fail to preserve project information.

You are solely responsible for reviewing all geometry, settings, supports, filament assignments, toolpaths, and printer compatibility before printing.

6. DIGITAL PRODUCT; NO PHYSICAL ITEM

Unless the applicable listing expressly states otherwise, all Digital File purchases are digital products. No physical item will be shipped.

You are responsible for reviewing the complete product description and confirming that you possess compatible equipment, software, materials, and sufficient knowledge to use the Digital File.

7. REFUNDS

Due to the immediate and irrevocable nature of access to downloadable intellectual property, purchases of Digital Files are final and non-refundable once download or access has been provided, except where otherwise required by applicable law.

Purchasing the wrong file, failing to read the listing or Agreement, lacking compatible equipment or software, experiencing print failures, or mistakenly believing that a physical item was included does not create a right to a refund.

8. PRINT RESULTS AND DISCLAIMER OF WARRANTIES

3D-printing results depend upon factors outside the control of Hayley Luxe, including printer calibration, filament condition, material selection, nozzle size, build surface, slicer settings, environmental conditions, maintenance, and user operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL FILES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPATIBILITY, OR GUARANTEED PRINT RESULTS.

Nothing in this provision excludes a warranty or consumer right that cannot lawfully be excluded.

9. HAYLEY LUXE INTELLECTUAL PROPERTY

Except for Third-Party Elements addressed below, Hayley Luxe retains all rights and interests it may hold in its original Digital Files, model geometry, original design elements, arrangement, modifications, photographs, graphics, written instructions, branding, and other original content.

Nothing in this Agreement transfers ownership of Hayley Luxe intellectual property to you.

Your purchase grants only the limited contractual permission expressly stated in this Agreement. Possession of a copy of a Digital File does not establish ownership or confer reproduction, distribution, resale, sublicensing, or commercial rights.

10. THIRD-PARTY INTELLECTUAL PROPERTY AND SEPARATE RIGHTS

A Digital File, personal-use version, listing photograph, or product example may reference or depict a name, logo, trademark, trade dress, character, product likeness, graphic, or other element associated with a third party (“Third-Party Element”).

All rights in Third-Party Elements remain with their respective owners. Hayley Luxe does not claim ownership of, sell, license, or grant permission to use any Third-Party Element. No affiliation, sponsorship, authorization, or endorsement by a third-party rights holder is stated or implied.

The existence, inclusion, exclusion, removal, replacement, alteration, or ownership of a Third-Party Element does not:

Expand the scope of your personal-use license;
Grant commercial, resale, reproduction, manufacturing, or distribution rights;
Transfer ownership of the Digital File or Hayley Luxe’s original contributions;
Convert a personal-use file into a commercially licensed file;
Waive, invalidate, or excuse compliance with this Agreement; or
Authorize commercial use of any original or modified version of the Digital File.

You expressly acknowledge that third-party ownership of a particular element does not, by itself, place the entire Digital File in the public domain or authorize you to exploit the Digital File commercially.

Regardless of whether Hayley Luxe owns or claims rights in a particular Third-Party Element, you remain contractually bound by the restrictions governing your access to and use of the Digital File.

A PERSONAL-USE DIGITAL FILE REMAINS PERSONAL USE ONLY EVEN IF IT CONTAINS THIRD-PARTY ELEMENTS, AND EVEN IF THOSE ELEMENTS ARE REMOVED, REPLACED, OR MODIFIED.

Permission from a third-party rights holder does not replace a commercial license required from Hayley Luxe. A Hayley Luxe commercial license does not replace permission that may be required from a third-party rights holder.

Where applicable, you are solely responsible for obtaining both:

A separate written Commercial Maker License from Hayley Luxe covering the eligible, unbranded Hayley Luxe design; and
Any permission legally required from the owner of a Third-Party Element.

Any Third-Party Element added to an unbranded commercial file is added solely at your own direction, risk, and responsibility.

11. COMMERCIAL LICENSES

Commercial rights are not included with a standard Digital File purchase.

A commercial license, if offered, must be purchased separately and expressly granted by Hayley Luxe. No statement, message, assumption, prior purchase, possession of a file, or informal communication creates commercial rights.

A Hayley Luxe Commercial Maker License applies only to eligible, unbranded Hayley Luxe files obtained through authorized channels. It does not retroactively authorize the commercial use of a branded or personal-use version.

Commercial licensees remain subject to this Agreement and any additional terms presented with the Commercial Maker License. If the terms conflict, the more restrictive provision applies unless Hayley Luxe expressly agrees otherwise in writing.

12. MONITORING AND ENFORCEMENT

Hayley Luxe actively monitors online marketplaces, social-media platforms, file-sharing websites, and other sales channels for unauthorized use of its Digital Files and designs.

HAYLEY LUXE ACTIVELY ENFORCES THESE TERMS. VIOLATIONS WILL NOT BE IGNORED.

If Hayley Luxe determines that you have violated or are threatening to violate this Agreement, Hayley Luxe may take immediate enforcement action without providing an additional warning or opportunity to cure.

Enforcement action may include:

Terminating your license and access to Hayley Luxe Digital Files;
Blocking or canceling future purchases;
Demanding the immediate removal of listings, posts, advertisements, files, and products;
Reporting unauthorized activity to marketplaces, social-media platforms, website hosts, payment processors, file-sharing services, and other providers;
Submitting copyright, intellectual-property, contractual, or other takedown complaints where appropriate;
Demanding preservation of sales, production, payment, and distribution records;
Seeking an accounting of manufactured and sold products and associated revenue;
Seeking temporary, preliminary, or permanent injunctive relief;
Pursuing monetary damages, profits, costs, attorneys’ fees, and other relief where legally available; and
Filing a claim before the Copyright Claims Board or commencing legal proceedings in a court of competent jurisdiction.

HAYLEY LUXE INTENDS TO PURSUE, AND WHERE WARRANTED WILL PURSUE, LEGAL ACTION AGAINST PERSONS OR BUSINESSES THAT KNOWINGLY SELL, DISTRIBUTE, SHARE, OR COMMERCIALLY EXPLOIT ITS DIGITAL FILES IN VIOLATION OF THESE TERMS.

Your characterization of the activity as a hobby, your lack of profit, the number of products involved, or your belief that another party owns a particular element does not excuse a contractual violation.

Hayley Luxe’s decision not to enforce a provision in one instance does not waive its right to enforce that provision in the same or any other instance.

13. TERMINATION

Your license automatically terminates immediately upon any material violation of this Agreement.

Upon termination, you must:

Immediately discontinue all use of the Digital File;
Stop manufacturing, advertising, offering, selling, or distributing products derived from it;
Remove all related listings and promotional materials; and
Delete all copies of the Digital File and modified or converted versions within your possession, custody, or control, except where preservation is required by law.

Termination does not excuse or cure a prior violation, authorize continued use, or limit any claim or remedy arising before termination.

14. PURCHASER RESPONSIBILITY AND INDEMNIFICATION

You are solely responsible for ensuring that your use of a Digital File and any elements you add complies with applicable laws and third-party rights.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hayley Luxe and its owner, employees, contractors, and representatives from claims, liabilities, damages, judgments, losses, and expenses arising from:

Your unauthorized or unlawful use of a Digital File;
Third-Party Elements added, restored, or used by you;
Products manufactured, marketed, or sold by you; or
Your violation of this Agreement.

15. ELECTRONIC ACCEPTANCE

Selecting “I agree,” checking an agreement box, completing a purchase after being presented with these terms, downloading a Digital File, or otherwise affirmatively accepting this Agreement constitutes your electronic signature and agreement to be legally bound.

You may not complete the purchase or access the Digital File if you do not agree to these terms.

Hayley Luxe may retain electronic records identifying the applicable version of this Agreement, date and time of acceptance, order information, and other evidence of assent.

16. GOVERNING LAW AND VENUE

This Agreement shall be governed by and interpreted under the laws of the State of Missouri, without regard to conflict-of-law principles.

Subject to any consumer right that cannot lawfully be waived, any legal proceeding arising from this Agreement shall be brought in a court of competent jurisdiction serving the Missouri county in which Hayley Luxe maintains its principal place of business, and the parties consent to jurisdiction and venue in those courts.

17. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent legally permissible, and the remaining provisions shall remain in full force and effect.

18. NO WAIVER

Failure or delay by Hayley Luxe to enforce any provision does not constitute a waiver. A waiver is effective only if expressly stated in a writing signed by Hayley Luxe.

19. ENTIRE AGREEMENT

This Agreement, the applicable product listing, and any separately purchased written commercial license constitute the entire agreement concerning the Digital File and supersede prior or contemporaneous discussions concerning its permitted use.

20. CHANGES TO THESE TERMS

Hayley Luxe may revise these terms periodically. The version presented and accepted at the time of purchase governs that purchase unless applicable law provides otherwise.

PERSONAL USE ONLY — COMMERCIAL RIGHTS ARE NOT INCLUDED

Purchasing, downloading, possessing, or modifying a Digital File does not grant permission to sell physical prints or redistribute the Digital File. Unauthorized use will result in enforcement action and may result in legal proceedings.
