Commercial Maker License

COMMERCIAL MAKER LICENSE — ONE-TIME PURCHASE

By purchasing the Hayley Luxe Commercial Maker License, you receive a limited, nonexclusive, nontransferable, and revocable license to manufacture and sell finished physical products created from eligible Hayley Luxe 3MF/STL designs that you have purchased separately.

This is a one-time license for one individual or one small business and does not require monthly or annual renewal. There is currently no limit on the number of finished physical products you may sell from eligible designs while your license remains in good standing.

WHAT IS INCLUDED

This purchase grants commercial selling rights only. It does not include or automatically provide any 3MF, STL, CAD, or other digital design files. Each design must be purchased separately from Hayley Luxe through an authorized sales channel.

When you purchase an eligible Hayley Luxe design, you will receive or may request the commercial-ready, unbranded version of that purchased file, with this license. Commercial-ready files will not include Hayley Luxe branding or third-party names, trademarks, logos, emblems, characters, artwork, or other protected branding that Hayley Luxe does not own or have authority to license commercially.

Purchasing this license does not grant permission to reproduce, sell, advertise, or distribute products containing any third-party trademark, logo, emblem, character, brand name, copyrighted artwork, or other protected intellectual property. Any permission involving third-party intellectual property must be obtained directly from its legal owner. Hayley Luxe cannot grant those rights.

The license applies only to eligible Hayley Luxe designs that you have legally purchased. It may cover current and future eligible designs, but every digital file must still be purchased separately. Designs identified as personal-use-only, fan art, collaborations, limited licenses, commissioned work, or otherwise excluded are not covered unless Hayley Luxe provides express written permission.

PERMITTED USE

You may use eligible, commercially licensed Hayley Luxe files to personally manufacture and sell finished physical products through your own business, website, social-media pages, marketplaces, craft fairs, vendor events, or retail locations.

You may resize the design, select your own colors, and make reasonable print-setting adjustments necessary to manufacture the physical product. These limited production adjustments do not give you ownership of the original design or permission to create, distribute, or claim derivative digital files.

The license is issued only to the purchaser and the single business identified with that purchaser. Employees or contractors may assist with production solely for that licensed business, but they may not retain, reuse, copy, or independently sell the files or products under a separate business.

PROHIBITED USE

You may not sell, share, gift, trade, upload, distribute, sublicense, transfer, or otherwise provide any Hayley Luxe digital file—or any portion, extraction, conversion, remix, scan, copy, or modified version of a file—to another person or business.

You may not upload the files to MakerWorld, Printables, Thingiverse, Cults3D, Etsy, Patreon, Shopify, Facebook groups, shared drives, file-sharing services, AI platforms, model repositories, or any other public or private digital platform.

You may not sell digital files, molds, casting files, manufacturing files, blanks intended for another business to finish, or any product that provides another person with the ability to reproduce the design. You may not use the files for print-on-demand services, mass manufacturing, wholesale production by an unlicensed third party, sublicensing, or outsourced production without prior written approval from Hayley Luxe.

You may not claim the design as your own, remove embedded ownership information, register the design or any confusingly similar version as your intellectual property, or use Hayley Luxe branding in a way that suggests partnership, endorsement, ownership, or affiliation.

OWNERSHIP

All digital files, designs, artwork, product shapes, photographs, previews, branding, and related intellectual property remain the exclusive property of Hayley Luxe and their respective rights holders. This purchase grants only the limited commercial permission specifically described here. It does not sell or transfer ownership, authorship, copyright, trademark rights, source files, or any other intellectual-property rights to the purchaser.

The license is nonexclusive, meaning Hayley Luxe may sell or grant the same or similar rights to other makers and may continue producing and selling its own physical products.

LICENSE TERM AND TERMINATION

This license does not expire as long as the purchaser follows these terms. Hayley Luxe may immediately suspend or terminate the license if the purchaser violates any provision, shares or redistributes files, misuses third-party intellectual property, falsely claims ownership, initiates an improper chargeback, or otherwise uses the designs outside the permitted scope.

If the license is terminated, all commercial rights end immediately. The purchaser must stop manufacturing and selling products made from the files and permanently delete all Hayley Luxe digital files in their possession. Termination does not prevent Hayley Luxe from pursuing available legal remedies for copyright infringement, trademark misuse, breach of license, financial damages, injunctive relief, attorney fees where permitted, or other applicable claims.

PURCHASE, DELIVERY, AND REFUNDS

This is a digital commercial license and not a physical product. No printer, filament, finished item, or design file is included with this license purchase. Because access to digital rights is granted upon purchase, all sales are final and nonrefundable except where otherwise required by law.

The purchaser is responsible for confirming that each design is commercially eligible before producing it for sale and for maintaining proof of the license and all separately purchased files.

BUSINESS RESPONSIBILITY

The purchaser is solely responsible for safely manufacturing, marketing, labeling, and selling finished products and for complying with all applicable laws, marketplace rules, product-safety requirements, taxes, and business regulations. Hayley Luxe does not guarantee sales, profits, marketplace approval, printer compatibility, or a specific production result.

The purchaser assumes responsibility for their equipment, materials, print settings, finished products, customer claims, and business activities. To the fullest extent allowed by law, Hayley Luxe is not responsible for indirect, incidental, special, or consequential losses arising from the use or sale of products made under this license.

ACCEPTANCE OF TERMS

By purchasing, downloading, accessing, or using this license or any commercial-ready Hayley Luxe file, you confirm that you have read, understood, and voluntarily agreed to these terms. If you do not agree, do not purchase, download, access, manufacture from, or use the files.

These terms constitute the agreement between the purchaser and Hayley Luxe concerning this Commercial Maker License. Hayley Luxe may update these terms when reasonably necessary to protect its designs, comply with applicable law, or clarify permitted use. Any exception, expanded permission, transfer, or amendment must be provided in writing by Hayley Luxe.

This license is governed by the laws of the State of Missouri, without regard to conflict-of-law rules. If any provision is found unenforceable, the remaining provisions will continue in effect.

Questions regarding whether a specific design is commercially eligible must be submitted to Hayley Luxe before manufacturing or listing that product for sale.
